Terms of Service
1. Acceptance
These Terms form a binding agreement between you and FIRSIGHT LIMITED LIABILITY COMPANY, a Wyoming limited liability company doing business as Firsight. By creating an account, downloading the iOS app, accessing firsight.net, or using the Service, you agree to these Terms and the Privacy Policy. If you downloaded the app from the Apple App Store, the Apple licensed-application terms below also apply.
2. Eligibility and Age
You must be at least sixteen (16) years old to create an account or use the Service. You represent that your information is accurate and that you have authority to act for any company or organization you submit or manage. The Service is for professional, work-related use.
3. Description of Service
Firsight helps job seekers, employers, and professional communities discover one another, message, evaluate fit, post or review opportunities, and manage related trust workflows. Firsight is not a staffing agency, employer of record, recruiting agency, background-check company, fiduciary, or guarantor of employment, hiring, pay, immigration, credentials, or business outcomes.
4. Account
You are responsible for your account, credentials, devices, and all activity under your account. Keep login methods secure and notify support@firsight.net promptly if you suspect unauthorized access. You may not transfer accounts, sell access, share credentials, impersonate others, create misleading accounts, or evade enforcement.
5. User Content
You retain ownership of content you submit. You grant Firsight a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, format, moderate, translate, and create technical derivatives of that content solely as reasonably needed to operate, secure, provide, improve, and enforce the Service. The license ends when content or account deletion completes, except backups, audit records, safety records, legal holds, and other retention described in the Privacy Policy.
6. Acceptable Use
You may not post false, misleading, discriminatory, illegal, exploitative, harassing, threatening, defamatory, sexually explicit, hateful, violent, fraudulent, or unsafe content; create fake jobs or credentials; scrape, reverse engineer, disrupt, overload, or bypass the Service; upload malware or spam; expose personal information without authorization; evade moderation; violate employment, anti-discrimination, export, sanctions, privacy, IP, consumer-protection, or anti-spam laws; or interfere with others.
7. Zero Tolerance for Objectionable Content and Abusive Behavior
Firsight has zero tolerance for objectionable content and abusive behavior. We may filter content at submission, review reports, remove content, restrict features, suspend accounts, or permanently terminate accounts without prior notice. We aim to review reports promptly, including within twenty-four (24) hours where required by platform rules or law.
8. Content Moderation, Reporting, and Blocking
The Service includes tools to report content or users and block users where supported. Reports may be reviewed by automated systems and humans. Enforcement may include no action, warning, removal, visibility or feature limits, suspension, termination, preservation of records, or referral to law enforcement. For immediate danger, contact local emergency services.
9. Intellectual Property
The Service, software, design, marks, logos, trade dress, data structures, and aggregated or de-identified content are owned by Firsight or licensors. Except for the limited right to use the Service, no rights are transferred. Firsight marks may not be used without written permission.
10. Feedback
If you send suggestions, ideas, bug reports, or feedback, you grant Firsight a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without restriction or compensation.
11. DMCA and Copyright
Send copyright notices to support@firsight.net with the copyrighted work, allegedly infringing material and location, your contact information, good-faith statement, statement under penalty of perjury, and signature. We may remove material and terminate repeat infringers. Counter-notices must include DMCA-required information.
12. Privacy
Your use of the Service is governed by the Privacy Policy in the app and at https://firsight.net/privacy. It explains collection, use, disclosure, retention, protection, and privacy rights.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RELIABILITY. We do not guarantee uninterrupted service, accurate content, user or employer identity, or any job, match, message, verification, recommendation, or other result.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRSIGHT AND ITS AFFILIATES, PERSONNEL, PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, GOODWILL, EMPLOYMENT OR BUSINESS OPPORTUNITY, OR REPUTATION. Total liability will not exceed the greater of US $100 or amounts you paid Firsight in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
15. Indemnification
You agree to defend and indemnify Firsight and its affiliates, personnel, providers, and licensors from claims, losses, liabilities, costs, and expenses, including reasonable attorneys fees, arising from your content, Service use, Terms violation, law violation, or infringement of rights, except to the extent caused by Firsight gross negligence or willful misconduct.
16. Termination
You may stop using the Service and request deletion in the app. We may suspend or terminate access, remove content, or restrict features if we believe you violated these Terms, created risk, used the Service unlawfully, or stopped using it for an extended period. User Content, acceptable use, zero tolerance, IP, feedback, DMCA, privacy, disclaimers, liability, indemnity, law, disputes, Apple terms, and miscellaneous provisions survive.
17. Governing Law
These Terms are governed by Wyoming law, excluding conflict rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Mandatory consumer protections in your jurisdiction are not waived.
18. Dispute Resolution (US users)
U.S. users agree to binding individual arbitration by JAMS under Streamlined Arbitration Rules, except eligible small-claims cases. The seat is Laramie County, Wyoming unless remote proceedings are allowed or agreed. YOU AND FIRSIGHT WAIVE JURY TRIALS AND CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTIONS. Opt out within 30 days by emailing support@firsight.net with subject "Arbitration Opt-Out" and your account email.
19. Apple App Store - Licensed Application End User License Agreement
If downloaded from the Apple App Store, this agreement is between you and Firsight, not Apple. Apple is not responsible for the app, content, maintenance, support, claims, or IP disputes. You may notify Apple of warranty failures for refund of purchase price, if any. You represent you are not in an embargoed country or on a restricted-party list. Apple and subsidiaries are third-party beneficiaries.
20. Miscellaneous
These Terms, the Privacy Policy, and referenced policies are the entire agreement. Unenforceable provisions do not affect the rest. Failure to enforce is not waiver. You may not assign without consent; we may assign in corporate transactions or by law. We may update Terms and provide notice where required.
